Dissolution of Real Estate Partnerships

Our firm, in a series of consultations with corporate entities, community institutions, professionals and legal entities, has adopted a practical approach for solving tomorrow’s issues related to joint real estate.

One of the prevailing issues that pertains to property ownership in the Arab society in Israel (and in Israel in general) is the issue of joint partnership in jointly-held land (due to a historic family division or joint acquisitions). In those cases, significant parts of privately-held land are registered in the names of those who were recorded in the land registry as part of initial arrangements or in the joint purchase stages. 

The firm has engaged in advancing – independently and in collaboration with other community and official entities – plans and dissolution processes (independent or before judicial instances) in order to push for an overall trend in this field, all with the active involvement of government and parliamentary officials, past and present.

Our firm specializes in dissolution proceedings between real estate partners, both in liquidation/partnership agreements and registration of plans for registration purposes, as well as in legal claims, which at times include preliminary proceedings (injunctions), prevention of trespassing, and the regulation of ownership and use for any of the owners in specific and defined portions, within the scope of the Israeli Land Law and under the circumstances of each case on its merits.

We represent entrepreneurs and growth companies from inception, beginning with the idea and incorporation stage and onto exit. The assistance we provide our clients includes the preparation of founders agreements, determining the appropriate legal structure for the venture, protection of intellectual property rights, providing tax planning and advice, handling financing rounds and M&A transactions, and the identification of appropriate government funding and assistance programs. We also represent tech companies in their ongoing operations, including providing advice on corporate and employment matters, assisting in negotiating and handling strategic agreements and handling complex commercial transactions, such as licensing and R&D agreements, technology transfer, distribution agreements, representation and supply agreements (OEM/ODM), and more.

Employment & Labor Law

Not every employment agreement protects the parties, while the small details carry far-reaching consequences.

Every employer needs close and professional legal representation which ensures compliance with the strict norms applicable under Israeli labor law and avoid the violation of the law that can cost the employer heavily in legal proceedings (both in terms of the civil aspect of paying compensation, or fines or proceedings of criminal and administrative nature). 

Within our firm’s guidance for many corporations and employers, we provide legal support to carefully tailor the employment terms, with an emphasis on complying with all relevant legal requirements, while adjusting employment agreements to the employer’s particular needs, in a variety of fields and every possible employment constellation. This includes adjusting the arrangements that dictate the employer relations in the spirit of the times – and the plethora of options currently available, beyond the classic nine-to-five arrangements. 

In addition, our firm represents employers in disputes in the field of labor law, including in claims for wages, claims related to non-competition and intellectual property provisions, claims on workplace discrimination and more. The involvement of our firm’s legal team on these matters begins generally at pre-court proceedings and continues, if necessary, in legal proceedings in labor courts and other competent courts in order to protect the interests of the employers that we represent.

The field of infrastructures and water and sewage corporations is a newly developing legal practice, in which our firm has assumed the responsibility of being a pioneer. We do so based on a sincere belief in the importance of the field (environmentally/scientifically, as well as in terms of regulation and law) in the development of a healthy and sound society, the equal distribution of resources, and maintaining an adequate quality of life.

In this area, we address and advise on issues of management of resources, legal action against government and private entities, and representation before regulatory entities, and at times encounter issues that need to be addressed for the first time. Thus, we are required to represent the interests of the corporations that we represent, including by designing a new legal outline with broad implications.

Municipal Property Tax

Companies and businesses should not pay for the municipality’s mistakes.

Our firm represents many taxpayers on matters related to property tax and other municipal charges, which, due to errors in setting the billing amount, were charged payments that at least deserve a further and thorough legal investigation. Many times, the investigations found that the formation of the charge involved errors that could cost the property owners significantly, where the correct charge was substantially lower.

For the sake of illustration, the law has various “exemption” conditions (assets under construction, vacant assets, and so on), classifications that qualify for significant discounts (non-profit institutions, educational institutions, religious institutions and so on), and other legal possibilities that make the property tax charge one that is not inescapable but instead, a charge which thorough examination can save the taxpayer very significant amounts.

We represent clients on all taxation issues that arise in the course of their business activities – from the planning stage, ongoing consulting and support with the tax authorities in pre-ruling procedures, and ending with disputes with the various tax authorities, including conducting tax assessments and representation before the courts in civil appeals on tax matters.   • Transaction tax consulting and planning, including mergers, acquisitions, restructuring, investments and financing transactions. Private & Commercial Real Estate

Real estate investments, whether for private or commercial rental purposes, are labeled as the most solid investments for those with cash available for investment. However, as is well known, these investments are costly and sometimes involve considerable additional expenses, which require precise planning, and of course, broad and extensive awareness of the manner with which this investment must be managed.

Real estate investment in the modern world is no longer a matter of renting out a building and instructing the chicken to lay golden eggs; rather, it is an investment that requires study, educated decision-making on the basis of risk calculation, while carefully considering the aspects that are – in the eyes of the novice investor – the fine print, beginning with the taxation aspects, and ending with the planning of the property’s management (common areas, construction and parking rights, loading areas and management companies).

Unlike a commercial investment property, the importance of a person’s investment in an asset used for his and his family’s residence is clear – and this requires maximum consideration of the expectations of the purchaser or seller in terms of the purpose of the upgrade (since he is also a potential purchaser), considering the relative financial scope required to materialize an investment in his own walls, and the realization of a person’s hope to live where he wants to. There is a need for the proper planning, in-depth scrutiny, and conduct backed by experience in advancing real estate purchase transactions – all the more so when it comes to an asset where the family will spend most of its free time.
